These Terms of Service ("Terms") govern your access to and use of the TaxBuild website and the workflow-configuration and consulting services offered by TaxBuild ("TaxBuild," "we," "us"). By engaging our services or using this site, you agree to these Terms.
TaxBuild provides software-configuration, workflow-design, and consulting services for the TaxDome practice-management platform, including pipeline design, organizer configuration, tag taxonomy, engagement-letter setup, migration support, and ongoing operational support. Our services are limited to the configuration and operation of practice-management software and workflows.
TaxBuild is not a law firm, accounting firm, or tax-advisory firm, and nothing we provide is tax, legal, or accounting advice. Using our services does not create an attorney-client, accountant-client, or any professional-advisory relationship. You remain solely responsible for the tax, legal, accounting, and professional-responsibility obligations of your practice, including any conclusions your firm reaches using workflows we help configure.
TaxBuild is an independent service provider. We are not affiliated with, endorsed by, sponsored by, or an official partner of TaxDome unless expressly stated in writing. TaxDome and related marks are the property of their respective owner. References to TaxDome are for identification of the platform we configure only.
Where an engagement requires access to your TaxDome tenant or systems, you are responsible for granting, scoping, and revoking that access, for maintaining your own backups, and for ensuring you have the right to grant such access. You are responsible for reviewing and approving configurations before they go into production use with your clients.
Our engagements are scoped to configure structure, workflows, and templates. We do not require access to your clients' personal tax data to perform our services and will structure engagements to avoid it. Each party will keep the other's confidential information confidential. Where we do encounter your confidential information, we use it only to perform the engagement.
We perform our services in a professional and workmanlike manner. EXCEPT AS EXPRESSLY STATED IN AN SOW, OUR SERVICES AND THIS SITE ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that any configuration will produce any particular business result.
To the maximum extent permitted by law, TaxBuild will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total aggregate liability arising out of or relating to an engagement will not exceed the fees you paid us for that engagement in the three months preceding the event giving rise to the claim.
TaxBuild is an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. Neither party may bind the other.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The state and federal courts located in California will have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
We may update these Terms from time to time. Material changes take effect when we post the updated Terms with a new "last updated" date. Continued use after changes constitutes acceptance.
